1. Definitions

The following terms will be in the general conditions of sale.

Good gift: we have self-seller, we asked, the number of validity, the number of validity and the description allowing to take advantage of an offer within our establishment. The gift voucher can be delivered by post. Confirmations or file follow-ups can be sent by email notifications.

Gift voucher: from the package of a postal post.
A gift voucher is composed of the following:

Umami Restaurant reserves the right to complete the list of gift certificates available for sale or at the end of their distribution at a single discretion and at any time.

Enter the name of the company issuing the gift voucher which assumes responsibility for the amounts, billing, delivery tracking, conformity of the service and all the obligations.

Crédit Mutuel: Insurance for the security and payment of transactions.

Beneficiary: refers to the person who uses the gift certificate.

Benefit: the global offer provided by it. This is the service provided to the beneficiary from the selection of offers contained on the website.

Client: means the person who buys a gift voucher, provided that the client may or may not be the beneficiary of the benefit depending on whether it will be for personal use or intended for a beneficiary.

Party : refers to the client and / or Umami Restaurant.

Site : refers to the site www.restaurant-umami.com.

2. General conditions of sale

You are offered online gift vouchers developed by Umami Restaurant under the URL : www.restaurant-umami.com

Umami Restaurant has a status of SARL with a capital of 1000 €, whose seat is at 8 rue des Dentelles 67000 Strasbourg, registered under number SIRET .

We invite you to read carefully all of these terms and conditions which define the terms and conditions under which Umami Restaurant sells its gift vouchers.
The present general conditions of sale therefore apply only for the orders of vouchers passed on the site www.restaurant-umami.com, directly by telephone : 03 88 32 80 53, or at the reception of the establishment.
These conditions apply to the exclusion of all other conditions, including those in effect for in-store sales.
Where the origin of the offer is identified on a distributor site, the sale is made by the establishment and not by the distributor.
The present general conditions of sale are valid as of July 1st, 2014. They cancel and replace all the previous versions of these conditions.

Umami Restaurant reserves the right to modify these Terms and Conditions at any time, without notice, it being understood that such changes will not be applicable to orders previously accepted and confirmed by Umami Restaurant.
Any customer declares to have the legal capacity in accordance with Article 1124 of the Civil Code to contract and use the site in accordance with the general conditions of sale and use of the site.

Article 1: ordering process and formation of the contract

You can place your gift voucher orders directly :

• by internet on the site : www.restaurant-umami.com,
• by phone : 03 88 32 80 53 (local call rate),
• or live with the establishment.

The ordering process on the site involves the following steps :

• selection on the site of one or more gift vouchers
• following this selection, a summary of all the choices and the total price of the selected gift vouchers, your details, your payment method, will allow you to check the details of your order and thus make the necessary modifications, before the definitive registration of your order
• your "first click" will allow the registration of your order, subject to having expressly accepted the present general conditions of sale
• your order will be recorded only after your last validation, which will be manifested by your "second click"
• in case of payment by credit card, this "second click" will correspond to the moment of registration of your bank details. However, your contract will be definitively concluded only after acceptance of the payment by your bank
• from the final confirmation of your order (manifested by your "second click"), we will send you an email confirming your order summarizing all items related to it. By printing and / or keeping this email, you will have a proof of your order
• upon completion of an order for one or more gift vouchers, the sponsor will have access to an interface to track his orders.

Article 2: conditions of use of vouchers and responsibility

Article 2.1

In the event that you are not the beneficiary of the gift voucher, you are invited to inform the beneficiary of the conditions set out below.

Article 2.2

For the voucher to be valid, it must be validated. For this, you must contact Umami Restaurant at the following number : 03 88 32 80 53.

Article 2.3

Only the presentation of the original gift voucher received by post or printed from the email is entitled to a benefit.

Article 2.4

The gift voucher gives entitlement to services developed by Umami Restaurant, as indicated on the Site, whether through an online reservation or directly with the establishment.

Article 2.5

The gift voucher is valid according to the dates and days of the week specified on the gift voucher.

Article 2.6

The gift voucher benefits do not include transportation to the place of delivery of the selected establishment.

Article 2.7

The photographs presented in the gift voucher are not contractual. Any partial or entire reproduction is prohibited.

Article 2.8

Except online booking, the delivery of the service will occur after the control by the establishment of the validity of the gift voucher and the full payment thereof. This control involves the validation of the gift voucher number by the establishment to verify the effective activation of it.

Article 2.9

The delivery of the Benefit is subject to the specific conditions of the selected establishment, in particular in terms of cancellation or modification of the reservation, the age limit and the physical conditions of the beneficiary or beneficiaries.

Article 2.10

The establishment is solely responsible for the proper performance of the service. The distributor and Umami Restaurant can not be held liable for the performance of the service. Umami Restaurant will nevertheless make its best efforts to find an amicable solution to the conflict between the establishment and the beneficiary.

Article 2.11

The gift voucher is non-exchangeable and non-refundable. exchangeable during all its validity, under certain conditions. For the exchange terms, please refer to article 9 of these Terms and Conditions.

Article 2.12

In case of non-use in its period of validity, loss, theft or destruction of the gift voucher, the beneficiary may not claim a refund or compensation of any kind whatsoever. On the other hand, in the case where a beneficiary can not consume his gift voucher in the foreseen period we invite him to contact the establishment.

Article 2.13

Umami Restaurant declares to hold a professional indemnity insurance for amounts notoriously sufficient for the provision of services and to have all the authorizations and diplomas allowing it to carry out its activities on a regular basis and in accordance with the legal and regulatory provisions applicable.
However, the beneficiary is invited to check that he himself has sufficient insurance coverage, particularly for the practice of certain so-called "risky" sports activities. The beneficiary is reminded that the safe delivery of benefits does not preclude him from observing the elementary precautionary rules for sports activities, especially those considered "at risk". The beneficiary accepts the risks accordingly.

Article 3 : price and terms of payment

Article 3.1 : price

The prices of gift vouchers, posted on the site, are those in force on the day of the order.
Gift vouchers are outside the scope of VAT.

Article 3.2 : Terms of payment

The payment of the order can be made by credit card, according to the following modalities :

• by credit card according to the cards indicated in the average payment page. (Carte Bleue, Visa card, Eurocard / Mastercard.): By indicating directly in the zone provided for this purpose, the card number, its date of validity, as well as its code of control located on the back of the card. The total amount of the order will be charged to the credit card on the day of the order. Umami Restaurant reserves the right to suspend any processing of the order in case of refusal of authorization of payment from your bank. The site allows you to transmit your bank details confidentially and securely, during your order (secure entry by SSL encryption) through the Crédit Mutuel service.

Article 4 : right of withdrawal

When buying a gift voucher, according to the terms of Article L.121-20 of the Consumer Code, you have 7 days to exercise your right of withdrawal without having to justify reasons, or to pay penalties, except for the cost of return.

The return costs will be your responsibility. Only good and good gifts returned on time and in perfect condition (gift vouchers returned without the presence of the gift voucher, damaged, soiled, will not be returned) may be refunded.

Any return made in accordance with the conditions of this article will result in a refund of the total amount paid no later than thirty days from receipt of the gift voucher in perfect condition.

Article 5 : proof of orders / archiving

You are expressly informed that, unless you make a manifest error, the data stored in Umami Restaurant databases is conclusive with regard to the orders placed.

Data stored on a computer or electronic medium that is regularly stored is admissible and enforceable evidence in the same terms and with the same probative force as any document that would be received and kept in writing.

Article 6 : Delivery

Article 6.1 : Availability of gift vouchers

The gift vouchers of Umami Restaurant are limited edition products, partly because of the limited reception capacity and partly because of the limited validity of gift vouchers.
In case of temporary or permanent stock-outs, the customer will be informed of this unavailability because the order will not be successful.
In case of availability of the products, Umami Restaurant undertakes to honor any order of good gifts from the customer. If an order can not be honored due to out of stock, you have two possibilities :

• cancel your order. You will then be refunded the full amount paid, within 30 days at the latest of their payment,
• or benefit from an exchange of gift vouchers under the conditions defined in Article 9.

Article 6.2 : place of delivery

Umami Restaurant ships gift vouchers only in France.
Gift vouchers will be delivered to the address you specified when entering your order. Umami Restaurant can not be held responsible for any reason whatsoever in the event of your absence during the delivery or in the event of an error of seizure by you when you place your order. It will be your responsibility to contact Umami Restaurant as provided in Article 11.

Article 6.3 : mode of delivery and delivery time

Delivery will be made by post.
We remind you that deliveries do not take place on Saturday or Sunday.

Article 7 : non-compliance

Article 7.1

All gift vouchers delivered must be carefully checked by the Customer.
In the absence of control, the product is deemed delivered in good condition and can not be the subject of any subsequent dispute with Umami Restaurant.

Article 7.2 : gift Voucher Error

The customer will have to formulate by letter or email, within 72 working hours from the reception of the order, any error relating to the gift vouchers ordered.
Any claim not made in the rules of this article and within the time limits can not be taken into account and release Umami Restaurant from any liability towards the customer.

Article 8 : transfer of ownership / transfer of risk

The transfer of ownership and risks will occur at the time of delivery of (or) good gifts to the customer.

Article 9 : validity period of gift vouchers

Gift vouchers have a limited duration of use indicated on the gift voucher.

Article 10 : customer-complaint service

Article 11 : integrity of the contract

The fact that the gift certificate does not prevail at a given moment in one of the clauses of the present general conditions of sale can not be interpreted as a waiver, on the part of Umami Restaurant, to take advantage later one said conditions.
In the event that one of the present provisions had to be declared null or considered not written, the validity of the other provisions of the general conditions of sale will not be questioned.

Article 12 : applicable law

The law governing these general conditions of sale and the contract concluded in connection with a gift voucher order, is the French law for all disputes relating, in particular, to their validity, interpretation, execution or termination.

Article 13 : competent jurisdiction (dispute resolution)

The competent court in case of dispute will be the place of the address of the establishment.
